1. ACCEPTANCE OF TERMS

By accessing our website, placing an order, or completing payment through our Squarespace checkout, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions (the "Terms"). If you do not agree to these Terms, you must not use our services or complete any purchase.

These Terms apply to all users, including, without limitation, customers, browsers, and vendors.

2. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms or your purchase shall be resolved exclusively in the courts of Ontario, Canada. You hereby consent to the jurisdiction of such courts.

3. NATURE OF PRODUCTS & VISUAL REFERENCES

All physical products offered by Mia Prop House are custom, made-to-order productions fabricated specifically for each client. They are not mass-produced or ready-made retail goods.

Design Previews: Renderings, concept visuals, and design previews (including AI-generated images) are provided for visual reference and conceptual approval only. While we strive to match the approved design as closely as possible, the final product may vary slightly from the rendering due to the handmade nature of our work, differences in materials, or venue lighting. Any major deviations from the approved design will be communicated to you before production commences for final sign-off.

4. ORDERS, PAYMENT, & PRICING

Currency: All prices listed on our website are in Canadian Dollars (CAD).

Payment Methods: We accept payment via major credit cards (Visa, Mastercard, Amex) processed through our third-party payment processor, Stripe, and bank transfers.

For Custom Fabrication Orders: 100% payment is required before production begins. Your order is not considered confirmed until full payment has been successfully processed.

Payment constitutes binding acceptance of these Terms and authorizes Mia Prop House to proceed with production according to the approved specifications.

For Rental Bookings:

A security deposit is required to confirm and reserve the booking.

The full rental fee must be paid prior to delivery or pickup.

Where shipping, freight, delivery, installation, or logistics fees apply, such costs are invoiced separately and must be paid in full prior to dispatch or production scheduling. Production may be paused until all associated logistics fees are confirmed and settled.

Order Confirmation: An order is only considered confirmed and accepted by Mia Prop House after successful payment processing and the issuance of an order confirmation.

5. PRODUCTION TIMELINE

Production typically requires 4–6 weeks, depending on the scale, complexity, and detailing of the item. Larger formats or orders placed during peak seasons may require up to 8 weeks. While we will make every effort to adhere to the estimated timeline, production times are estimates and are not guaranteed. Rush production may be available upon request for an additional fee, subject to our production capacity.

Mia Prop House is not liable for delays caused by third-party material suppliers, freight carriers, or mechanical failures beyond our reasonable control ("Force Majeure"). In such cases, we will notify the Client immediately and work to resolve the issue.

Delays do not constitute grounds for cancellation or refund.

6. CUSTOMIZATION & FINAL APPROVAL

All customization details (e.g., accent colors, dimensions) will be confirmed with you in writing after purchase. You are responsible for reviewing and approving these details before production commences.

Once you have provided final approval and production has commenced:

No further changes, modifications, or cancellations can be made.

The order is considered final.

7. NO RETURNS, NO CANCELLATIONS, NO REFUNDS

Because all our products are custom-made specifically for you and each item is fabricated according to your approved specifications and cannot be resold, all custom fabrication orders are considered final sale.

We do not accept returns, exchanges, or offer refunds for change of mind, styling preferences, event rescheduling, or incorrect measurements provided by the client.

Cancellations are not accepted once production has begun.

This policy does not affect your statutory rights in the event of a defect or our failure to comply with these Terms.

8. SHIPPING, FREIGHT, & DELIVERY

Shipping Costs: Freight shipping is not included in product prices unless explicitly confirmed in writing. Shipping and logistics are calculated separately after purchase based on final dimensions, crate size, weight, destination, carrier rates, access conditions, and current market freight pricing.

Due to the large-scale and custom nature of many of our structures, freight costs may vary significantly depending on project size and destination.

Shipping Confirmation: A separate freight invoice will be issued once final packaging specifications are confirmed. Payment of all shipping and logistics fees is required before dispatch. Production scheduling or release of goods may be delayed until freight charges are fully paid.

International Orders: Clients outside of Canada are solely responsible for all customs duties, import taxes, brokerage fees, inspections, port storage, and any other government-imposed charges. Customs processing times are outside of our control and do not constitute grounds for cancellation or refund.

Non-Refundable: Once freight has been arranged, booked, or dispatched, all shipping and logistics fees are non-refundable.

Delivery Type & Access: Clients must specify whether the delivery address is residential or commercial. Additional fees for liftgate service, limited access delivery, long carries, re-delivery, storage, redirection, or missed delivery appointments may apply and are the responsibility of the Client.

9. RISK OF LOSS & DELIVERY DELAYS

Unless otherwise required by applicable consumer protection laws, risk of loss and title for products pass to you upon our delivery to the freight carrier.

We are not responsible for any delays, damage, or loss caused by the shipping carrier once the item is in their possession. However, we will provide all necessary documentation to assist you in filing a claim with the carrier.

Delivery dates are estimates only and are not guaranteed.

10. SHIPPING DAMAGE CLAIMS

We take great care in packaging our items. However, if damage occurs during shipping, you must adhere to the following process:

Inspection at Delivery: Before signing the carrier's delivery receipt (Proof of Delivery), you must inspect the package for visible damage. If damage is visible, you must note "DAMAGED" on the delivery receipt.

Notification: Notify us in writing within 24 hours of delivery.

Evidence: Provide clear photographic evidence showing the exterior packaging, interior packaging, and the damaged area(s) of the product.

Retention: All original packaging materials must be retained for inspection by the freight carrier.

Resolution: We will initiate a freight claim on your behalf with the carrier and assist in the resolution process, which may include repair, partial compensation, or replacement, depending solely on the carrier's final assessment.

Failure to note damage on the delivery receipt or to report damage within the 24-hour window with the required evidence may void your eligibility for a freight claim.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by the laws of the Province of Ontario:

Mia Prop House shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunity, costs of substitute goods or services, or damages arising from event cancellations or delays, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or your order shall not exceed the total amount paid by you for the specific product that is the subject of the claim.

This limitation does not apply to damages caused by our gross negligence or willful misconduct, to claims for bodily injury or death, or to any other liability that cannot be excluded or limited by applicable law.

12. USE, HANDLING, & INSTALLATION

Upon delivery, you are solely responsible for the proper installation, storage, and handling of the product. We are not responsible for damage caused by:

Improper assembly or installation.

Misuse, abuse, or negligent handling.

Unauthorized modifications or repairs.

Exposure to extreme environmental conditions not suitable for the product's intended use.

If you require professional assembly or installation by our team, these services must be arranged and paid for in advance.

13. RENTAL TERMS (Specific to Rentals)

Condition of Return: All rental items must be returned in the same condition as they were received, normal wear and tear excepted.

Damage & Loss: Damage beyond normal wear and tear, including but not limited to stains, tears, cracks, structural damage, or missing parts, will be assessed. You will be charged for the cost of repair or replacement, deducted from your security deposit. If costs exceed the deposit, you will be invoiced for the difference.

Late Returns: Late returns may incur additional daily rental fees.

14. INTELLECTUAL PROPERTY

All designs, original renderings, concept visuals, and related intellectual property created by Mia Prop House remain our sole and exclusive property. You are granted a limited, non-exclusive, non-transferable license to use the product for its intended purpose at your event. Unauthorized reproduction, duplication, copying, 3D scanning, manufacturing of replicas, resale, or commercial exploitation of our designs is strictly prohibited.

15. CHARGEBACKS & PAYMENT DISPUTES

By completing a payment, you expressly acknowledge and agree to these Terms. Initiating a chargeback or payment dispute with your bank or credit card company without first attempting to resolve the issue directly with us in writing constitutes a material breach of these Terms. In the event of a dispute, we reserve the right to provide all relevant documentation, including order confirmations, customization approvals, and a copy of these Terms, to our payment processor and financial institutions to defend our rights.

16. CONSUMER RIGHTS

Nothing in these Terms shall act to limit or exclude your statutory rights under the Ontario Consumer Protection Act, 2023 or any other applicable consumer protection legislation. This includes, for example, your right to cancel an agreement in specific circumstances as provided by law.

17. QUEBEC RESIDENTS

If you are a resident of the Province of Quebec, you may request a French version of these Terms before placing your order by contacting us at info@miaprophouse.com. The English version of these Terms remains the governing version in the event of any dispute.

18. MODIFICATIONS TO TERMS

We reserve the right to update, modify, or replace any part of these Terms at any time by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. The version of the Terms in effect at the time you place an order will govern that transaction.
